Commercial Lawyer in Woden, Canberra

When you are looking to either buy or sell a business, there are a world of things to consider beyond what the price is and when can you settle. Many of these matters often require careful negotiation, or where they involve a landlord, franchisor or a licencing authority cannot be addressed overnight. With our broad experience, our commercial lawyers can identify these important matters and help you to deal with them, both at the negotiation and documentation stage, so that they do not become last minute headaches which jeopardise your deal.

Business Structuring / Partnerships

There are a number of ways in which you can structure your business, but not all of them are the right choice for every scenario. We will work with you to clearly explain the benefits and drawbacks of each business structure, and enjoy working on a collaborative basis with your other professional advisors to ensure that you choose the best structure for your business, whether you are just starting out or are restructuring an existing business. Our expertise is not limited to commercial businesses though - we also have experience in advising on new, or changes to, structures and, constitutions and by-laws for not-for-profit enterprises.

Business Succession Planning

Whether it is a small business or a growing empire, there will come a point where you decide it is time to step away from your business. With our broad experience in all aspects of commercial law we are able to assist you with this transition, and will work with your advisors in an effective way to plan, document and implement your succession planning decisions.

Business Franchising

We act for both franchisees and franchisors. For franchisors we have advised in relation to the pre planning required to set up a franchise business, the drafting of the Franchise Disclosure document and the Franchise Agreement as well as securing IP rights including assisting in the registration of trademarks, patents and registered designs.

For franchisees we advise on the content and practical effect of the provisions contained in a Franchise Agreement and the information given in a Franchise Disclosure document.
Where necessary we have supported either franchisor or the franchisee in dealing with disputes at the level of mediation as well as litigation.

Where necessary we have supported wither franchisor or the franchisee in dealing with disputes at the level of mediation as well as litigation.

Commercial Leasing

We act for many landlords and also for tenants. Our experience as commercial lawyers allows us to not only talk with authority both about the Lease Agreement as a contract but also about the commercial considerations that a landlord or tenant ought to take into account before making decisions. The firm has staff and systems in place to provide an excellent service with the storage and retrieval of Lease Agreements and associated documentation. These systems allow us to advise our clients where decisions need to be made within time frames.

We are also experienced in all aspects of the negotiation of new leases or the renewal of existing leases including giving clear explanations to our clients, dealing with revenue authorities and registration authorities and with financial institutions for consents. While lease disputes are also regularly dealt with, our focus is to assist in a commercially sensitive and sensible way.

Commercial Property Sales and Purchases

While experience in general conveyancing is important, it is also necessary to have an understanding of tax to ensure that the transaction is entered into and concluded successfully. We have experience in advising on business structures, ownership options, financing land permitted purposes, requirements for building approvals and development potential. This experience relates to both the New South Wales and ACT jurisdictions. In other parts of Australia, our commercial lawyers assist our clients through strong, established relationships with capable and experienced legal firms in all other States and Territories.
